Semi-Qualified Company Secretary

 We are seeking a detail-oriented and motivated Semi-Qualified Company Secretary to join our team. The ideal candidate will be responsible for handling corporate compliances, drafting, statutory filings, audits, and taxation matters under the Companies Act, 2013 and other regulatory frameworks. This role requires a proactive professional who can ensure statutory adherence while providing support in financial, taxation, and legal matters. Key Responsibilities:
  • Draft minutes, resolutions, and notices for Board Meetings, General Meetings, and Committee Meetings in compliance with the Companies Act, 2013.
  • Organize and conduct Board Meetings, AGMs, EGMs, and meetings through video conferencing/other audio-visual means.
  • Prepare, maintain, and file statutory forms, registers, reports, and returns with MCA/ROC and other regulatory bodies.
  • Handle matters related to incorporation of companies (Private, Section 8, LLP), name change, shifting of registered office, and strike-off procedures.
  • Assist in conversion of company structures (Private ↔ Public, LLP conversions).
  • Manage compliances relating to issuance and allotment of shares, transfer of shares, and conversion of preference shares.
  • Ensure appointment and compliances of KMPs, statutory auditors, directors, and independent directors.
  • Prepare Due Diligence Reports, ROC Search Reports, and Stock Audit Reports for private and listed companies.
  • Maintain statutory registers and ensure ROC filings including annual filing (XBRL).
  • Draft and file applications for changes in authorized capital, company name, object clause, and directorships.
  • Prepare Director Reports, Annual Reports, and ensure complete compliance with legal and regulatory requirements.
  • Conduct internal, statutory, tax, and stock audits for private and listed companies.
  • Prepare financial statements including Balance Sheet, Profit & Loss, Notes to Accounts, and Audit Reports.
  • Assist in preparation of financials for trusts and filing of applicable forms (10BB).
  • Prepare and issue various certificates under the Companies Act (CA Certificates). Manage end-to-end bookkeeping, journal entries, and bank reconciliations.
  • Handle purchase and sales verification and trend analysis.
  • Assist in preparation of Bank Reconciliation Statements and financial reporting.
  • Manage GST migration, e-way bill compliance, and related regulatory processes.
  • Compute income tax liability under various heads and e-file Income Tax Returns for individuals, firms, trusts, and companies. Requirements:
  • Semi-qualified CS with experience in corporate compliance, audit, taxation, and accounting.
  • Strong knowledge of Companies Act, 2013, MCA/ROC procedures, and statutory regulations.
  • Proficiency in MS Excel, MS Word, Tally Prime, Compu Pay, and XBRL filing.
  • Excellent drafting, communication, and analytical skills. Qualifications:
  • A qualified or Semi Qualified  Company Secretary often holds a professional certification recognized by relevant authorities, such as the Institute of Company Secretaries of India (ICSI). Holding the LLB Degree is an additional benefit.
