Power of Attorney: Meaning, Types, Registration and Property Rules

A Power of Attorney is one of those documents people hear about often but understand very little. Someone is abroad and cannot come for registration. An elderly owner cannot travel to the Sub-Registrar office. A family member handles a property sale for everyone else. In all these situations, a Power of Attorney makes the work possible.

It is also a document that gets misused. Many buyers have lost money by purchasing property on a Power of Attorney, thinking they had become the owner. This guide explains the topic in simple words: what it means, the types, how to register it, what it costs, and where buyers need to be careful.

What Is a Power of Attorney?

A Power of Attorney is a legal document in which one person gives another person the right to act on their behalf.

There are two sides to it:

  • Principal: the person who gives the power. Also called the executant or donor.
  • Attorney holder: the person who receives the power. Also called the agent or donee.

The attorney holder does not become the owner of anything. He only gets permission to do certain jobs for the principal, such as signing papers, collecting rent or appearing before a government office.

POA Full Form and Meaning in Simple Words

POA is short for Power of Attorney. The word "attorney" here does not mean a lawyer. It simply means a person chosen to act for someone else.

Think of it this way. If you cannot go to the bank, you send a trusted person with a letter of authority. A Power of Attorney is the same idea, but written properly, stamped, and in many cases registered with the government.

Power of Attorney in Real Estate: Why People Use It

In property matters, a Power of Attorney saves time and travel. Common situations include:

  • The owner lives in another country or another city
  • The owner is old or unwell and cannot travel
  • A property has many co-owners and one person handles the paperwork
  • A company authorises an employee to sign property documents
  • A builder authorises a manager to register flats for buyers

For example, if a family living in Mumbai owns apartments in Jaipur, they may give a Power of Attorney to a relative here so he can handle registration, mutation or rent matters without everyone flying down each time.

Types of Power of Attorney

General Power of Attorney (GPA)

A General Power of Attorney gives wide powers. The attorney holder can handle many kinds of work: managing property, dealing with banks, appearing in government offices, signing documents and more.

It is convenient, but risky. Broad powers in the wrong hands can cause serious loss.

Special Power of Attorney (SPA)

A Special Power of Attorney gives power for one specific job. For example, only to register one particular flat, or only to collect rent from one shop.

For most property deals, an SPA is the safer choice. Once the job is done, the document has no further use.

Durable and Non-Durable

A durable Power of Attorney continues to work even if the principal later becomes mentally unfit. A non-durable one ends in such a situation. This must be clearly written in the document.

Revocable and Irrevocable

Most documents are revocable, which means the principal can cancel them any time. An irrevocable Power of Attorney is usually given when the attorney holder has some financial interest in the property, such as a developer who has paid money for a project.

Even so, Indian courts have held that a Power of Attorney can generally be cancelled by the principal, so the word "irrevocable" is not a guarantee.

What Powers Can Be Given

A Power of Attorney can cover as much or as little as the principal wants. Commonly given powers include:

  • Selling or buying property
  • Signing and registering a sale deed
  • Handing over or taking possession
  • Applying for mutation and name change in records
  • Collecting rent and dealing with tenants
  • Applying for loans and dealing with banks
  • Appearing before JDA, Nagar Nigam or other authorities
  • Filing or defending court cases related to the property

Some things cannot be delegated. A will, for instance, must be made by the person himself. A Power of Attorney holder cannot make a will for the principal.

How to Make a Power of Attorney

The process is simple if you follow the right order.

  1. Decide the powers: Write down exactly what the attorney holder can and cannot do.
  2. Get it drafted: A lawyer usually prepares the draft. Vague wording causes most disputes, so be specific.
  3. Describe the property clearly: Plot number, address, area, boundaries and registration details.
  4. Pay stamp duty: Buy the correct stamp paper or pay through the e-stamp system.
  5. Sign before witnesses: Usually two witnesses sign along with the principal.
  6. Notarise or register: Depending on the purpose, either get it notarised or register it at the Sub-Registrar office.

Registered Power of Attorney and Notarised Power of Attorney

People often ask which one they need. The difference matters.

  • A notarised Power of Attorney is signed before a notary. It works for many routine matters, such as banking or small official work.
  • A registered Power of Attorney is recorded at the Sub-Registrar office. For anything involving the sale, transfer or possession of immovable property, registration is necessary. Under the Registration Act, 1908, documents that create rights in immovable property must be registered to be valid in law.

If someone offers you a flat where the seller holds only a notarised GPA, treat it as a warning sign.

How to Register a Power of Attorney

Registration happens at the Sub-Registrar office in the area where the property is located.

Documents required for a Power of Attorney:

  • The drafted Power of Attorney on proper stamp paper
  • ID and address proof of the principal (Aadhaar, PAN, passport)
  • ID and address proof of the attorney holder
  • Passport size photographs of both
  • Property documents such as the sale deed or patta
  • Two witnesses with their ID proofs

Both parties usually appear in person. Photographs and biometrics are taken, the document is signed, and a registered copy is issued. In Rajasthan, appointments and payments are handled through the e-Panjiyan system of the registration and stamps department.

Stamp Duty on Power of Attorney in Rajasthan

The cost depends on what the document allows.

  • If the Power of Attorney gives the right to sell property for money, it is treated much like a sale deed. Stamp duty is charged at the full rate, currently 6%, calculated on the DLC rate or the transaction value, whichever is higher.
  • If it is given to a close family member without any consideration, a small fixed fee applies, around ₹2,000.

Registration fees and the labour cess are separate. Rates are revised from time to time, so always confirm the current figure at the Sub-Registrar office or on the e-Panjiyan portal before you pay.

Can a Power of Attorney Holder Sell Property?

This is where most buyers go wrong.

A Power of Attorney holder can sign and register a sale deed on behalf of the owner, if the document clearly gives that power. But the Power of Attorney itself does not transfer ownership to the attorney holder.

In the well-known 2011 judgment in the Suraj Lamp and Industries case, the Supreme Court held that sale of property through a General Power of Attorney, an agreement to sell and a will, together known as the "GPA sale", does not pass legal title. Ownership of immovable property passes only through a registered sale deed.

So if someone tells you, "I have a GPA for this plot, I will transfer it to you on GPA," understand clearly:

  • You will not become the legal owner
  • Banks may refuse a home loan
  • Reselling later becomes difficult
  • If the original owner dies or cancels the document, you may lose everything

A Power of Attorney is legal. Using it as a substitute for a sale deed is not. The honest way is simple: the attorney holder signs the sale deed on behalf of the owner, the buyer pays the stamp duty, and the sale deed is registered in the buyer's name.

Validity of a Power of Attorney

A Power of Attorney does not usually carry a fixed expiry date unless one is written into it. It stays valid until one of these happens:

  • The principal cancels it
  • The purpose is completed, in the case of a Special Power of Attorney
  • The time period written inside it ends
  • The principal dies
  • The principal becomes of unsound mind, unless it is a durable document

Is a Power of Attorney Valid After Death?

No. The moment the principal dies, the authority ends. Anything signed after that date has no legal value. This is why buyers should always confirm that the owner is alive and that the document has not been cancelled before completing a transaction.

How to Cancel a Power of Attorney

The principal can revoke the document at any time, unless it is genuinely coupled with an interest. The usual steps are:

  1. Prepare a deed of revocation.
  2. Register it at the same Sub-Registrar office where the original was registered.
  3. Send written notice to the attorney holder.
  4. Publish a notice in a newspaper so third parties are informed.
  5. Inform banks, tenants or any office that may rely on the old document.

Cancellation without informing others can create confusion, so the public notice step is worth the small cost.

Power of Attorney for NRIs

Many property owners in Jaipur live abroad. An NRI can make a Power of Attorney from another country without travelling to India.

There are two common routes:

  • Consular attestation: Sign the document at the Indian Embassy or Consulate in that country, before the consular officer.
  • Apostille: In countries that are part of the Hague Convention, the document is notarised locally and then apostilled by the competent authority there.

After the document reaches India, it must be stamped as per Indian law. Under the Indian Stamp Act, a document executed abroad has to be stamped within three months of arriving in India. Send the original by courier, get it stamped, and then it can be used or registered.

Without this step, the document may be rejected at the Sub-Registrar office or the bank.
